At that level, his/her compensation was most likely a negotiated package,
approved and authorized by the Board of Directors.

The Board of Directors work for the stockholders.

Actually, the rules are set up by the SEC, where the BoD does not seem to
represent all the stockholders. Home Depot is a prime example.
